  1. Premises

1.1 These General Conditions of Sale (hereinafter "General Conditions" for brevity) regulate the purchase, via the internet, of the products offered for sale on the site (the "Products") www.greenvalleysrl.com (the "Site") , managed by the company Green Valley Azienda Agricola Srl., with registered office in C.da Grenne snc, Ficarra (ME), VAT number 03491290833, REA ME-241159, share capital € 10,000.00, telephone +39371 3152829, address and -mail: [email protected], PEC address: [email protected];

1.2 These General Conditions together with this premise constitute an integral and essential part of the purchase contract for any Product and the forwarding of an Order (the "Contract"), implies acceptance by the Buyer. Each contract will have as its object exclusively the Products expressly and specifically indicated therein, with the exclusion of any other supply of Products, goods and / or services.

1.3 The use of the distance selling service described in these General Conditions is reserved for Consumers, understood as natural persons acting for purposes unrelated to their commercial, entrepreneurial or professional activity possibly carried out, and to companies that must provide the relative VAT number. for the issue of the sales invoice but in any case intended for consumption in the context of its commercial activity.

1.4 These conditions do not regulate the supply of services or the sale of products by parties other than the Green Valley Seller, and which may be present or recalled on the site through links, banners or other hypertext links.

1.5 By placing the order on the site, the Buyer declares to have read and understood, through their presentation on the site, the product sheet or products covered by the order, as well as the instructions and warnings provided in relation to the use can reasonably foresee the aforementioned Products and to which they may be destined. Furthermore, the Buyer declares that in using the products he will comply with the instructions and warnings on the packaging of the same. By placing the order, the Buyer also declares to have read, understood and accepted these General Conditions of Sale, the proposed payment methods and the entire purchase procedure.

1.6 The language available to conclude the contract is Italian.

1.7 These General Purchase Conditions are governed by Italian law and in particular by the rules of the Civil Code, by Legislative Decree. 70/2003 relating to electronic commerce, by Legislative Decree. 206/2005 cd. Consumer Code (C.d.C for brevity) and Legislative Decree 21/2014 with reference to the legislation on distance contracts, with the exclusion of the application in the case of international sales contracts, of the provisions of the Vienna Convention of 01.04.1980 on contracts for the international sale of movable property, as not applicable relations with consumers. The Buyer is required to carefully read the General Conditions that are made available on this site and listed below, in order to allow the Buyer to store and reproduce them in accordance with the provisions of art 12 of Legislative Decree 70/2003.

 

  1. Definitions

For the purposes of these general conditions of sale, and in addition to the other definitions contained therein, the following terms will have the meanings indicated below:

2.1 "General Conditions": are all the conditions of sale, applicable to the contractual relationship between Green Valley Srl and the Customer.

2.2 "Green Valley agricultural company Srl" (Green Valley Srl for brevity) is the company that sells food products belonging to its assortment through the website at www.greenvalleysrl.com.

2.3 "Products": are all products and / or goods marketed by Green Valley agricultural company Srl and are part of its assortment.

2.4 "Customer": is the purchaser of the Products who holds the status of consumer, meaning the natural person of age or the legal person making the purchase for purposes not related to any commercial or professional activity carried out.

2.5 "Site": is the set of web pages relating to www.greenvalleysrl.com

2.6 "Promotions": are the sales made by Green Valley farm Srl for all or part of the Products and for limited periods of time with a discount on the normal sale price.

  1. Object of the contract and of the service

Through the website www.greenvalleysrl.com, the company offers an online sales service of citrus and olive oil products it cultivates and produces.

The essential characteristics of the products are explained in the description on the web at the time of purchase.

  1. Conclusion of the contract

The product purchase contract is considered definitively concluded when the buyer - final consumer completes and successfully completes the online purchase procedure by sending the order.

Notwithstanding the foregoing, the company's obligation to deliver the product is subject to prior payment of the order by the buyer.

The company will have the right, at its discretion, to keep a copy of the orders received in the ways and terms deemed most appropriate.

Given that the methods of purchase of the products by the professional buyer will be determined from time to time, by means of specific communications with the seller, the product purchase contract with professional buyers will be concluded only with the definitive agreement of the parties, to by email or by written order confirmation.

 

 

  1. How to purchase

The purchase of products for sale online on the website www.greenvalleysrl.com must necessarily take place following the procedure indicated by the platform, which consists of the following stages.

  4. d) Go to the cashier
  5. e) Select the payment method
  6. f) check the box relating to the acceptance of the conditions of sale

The buyer is aware that any different type of procedure, or the partial and non-definitive conclusion thereof, does not lead to the conclusion of the contract; only the correct and complete execution of the purchase procedure, as provided by the website www.greenvalleysrl.com, obliges the seller to deliver the purchased products.

  1. Prices

6.1 All prices indicated on the website are expressed in Euros (€) and include VAT.

6.2 Shipping costs, unless otherwise indicated, are included in the price.

6.3 The prices of the individual Products, indicated on the Site from time to time, cancel and replace the previous ones.

6.4 The prices applied are those indicated on the Site at the time of the purchase order by the Customer, without any consideration of any subsequent price increases or decreases.

6.5 In case of modification of an order, the price of the new products will be that indicated on the site at the time of the modification in the case of products other than those covered by the original order, while the price indicated at the time of the order will remain applicable if the change only affects the quantity of products already ordered.

  1. Delivery times and methods

7.1 Green Valley ships orders within 24/48 working hours of receiving the order.

7.2 The goods are shipped by express courier. In order to guarantee the best possible service, Green Valley s.r.l. undertakes to deliver purchases within a maximum of 72 hours from the day of shipment, always according to the courier's timing for each area. The terms are purely indicative and do not constitute an essential condition or peremptory term of the concluded contract. In no case, therefore, the buyer will be able to terminate the contract if the delivery takes place on a date other than that indicated in the order confirmation.

7.3 After payment of the order, the date and order code, as well as the shipping code, will be communicated to the buyer.

 

7.4. Delivery will be made at the address indicated by the buyer. The seller will in no case deliver the products to destinations and / or recipients other than those indicated at the time of the order, unless agreed with the buyer, in the event that we have chosen the "ship to a different address" option and only on the basis of the services offered by the courier designed to facilitate delivery.

7.5 It is the sole responsibility of the customer to verify the delivery address indicated. Green Valley Srl reserves the right to charge the customer any additional cost due to changes made to the delivery address not promptly communicated

7.6. If the buyer refuses to receive or, for any reason, does not receive the delivery of the product in accordance with the provisions of these general conditions of sale, all risks associated with the loss or damage of the products will be at his sole expense. In any case, the price paid for the order will not be returned. In the event of non-delivery, the company may: a) make the delivery by any other means, other than the standard one and deemed appropriate; b) leave the products in stock, with notice to the buyer.

  1. Methods of Payment

Payment for the Products purchased on the Site can be made using the payment methods described below.

8.1 PayPal (PayPal account or credit / debit cards accepted by the PayPal system) and Stripe.

8.1.1 Payment for the Products purchased on the Site can be made through PayPal and Stripe, based on the terms and conditions of the contract agreed between the Customer and PayPal and Stripe. In the case of payment by PayPal and Stripe, the amount relating to the purchase made will be charged by PayPal and Stripe immediately, together with the transmission of the order form.

8.1.2 In all cases of termination of the contract and subsequent cancellation of the order, the amount relating to the purchase made will be simultaneously re-credited to the Customer's PayPal account. The methods of re-credit on the payment instrument connected to the PayPal account depend exclusively on PayPal and Stripe.

8.1.3 In order to ascertain the identity and ownership of the Customer to make the payment, Green Valley Srl reserves the right to ask the Customer for additional information (for example, landline telephone number, or a front / back copy of the valid identity card by email or fax). The deadline by which the document must reach Green Valley Srl will be specified in the e-mail request. This deadline will not, in any case, exceed 4 days. Pending receipt of the requested document, the order will be suspended. In the event of a request, the Customer is required to send the requested documents within the specified deadline. In the event that Green Valley Srl does not receive these documents within the deadline specified in the e-mail request or receives expired or invalid documents, the contract will be considered terminated by law pursuant to and for the purposes of art. 1456 of the Italian Civil Code, and the order consequently canceled, without prejudice to Green Valley Srl's right to compensation for any damage it may have incurred due to the non-compliant behavior of the Customer. The termination of the contract, of which the Customer will be notified by e-mail, no later than 4 days after the deadline for sending the documents requested by Green Valley Srl, will result in the cancellation of the order and the refund of the amount. In the event that Green Valley Srl receives the required documentation within the indicated deadline, the shipping terms, i.e. the delivery of the Product by the courier, will start from the date of receipt of the documentation, or from the date of confirmation of the transaction by the fraud prevention center.

8.1.4 Green Valley Srl is unable to know and does not store in any way the data of the credit card connected to the Customer's PayPal account or the data of any other payment instrument connected with this account.

8.2 Advance bank transfer

8.3 Cash on delivery

8.3.1. It is possible to choose this payment method with an additional fixed cost of Euro 5.00 including VAT.

8.3.2 Payment to the courier can only be made in cash (payment by check is not accepted).

8.4 The shipment of the product will take place only after the buyer has paid the amount due, in the manner indicated on the website www.greenvalleysrl.com and reported here. All tax and banking information will be used by the company for the sole purpose of completing the procedures relating to the purchase, or if it is necessary to prevent or report to the police the commission of fraud, of any type and kind, on the site. www.greenvalleysrl.com

  1. Right of withdrawal

 

9.1 The Customer's rights are protected by Legislative Decree 206/2005. The Customer who for any reason is not satisfied with the purchase made, has the right to withdraw from the stipulated contract and to return any ordered Products already delivered, without any penalty and without specifying the reason and in the consequent refund of the purchase price.

9.2 The Customer can exercise the right of withdrawal within a period of 14 days from receipt of the products by following the procedure below:

Wait for written confirmation via email from Green Valley Srl, which will send you the "withdrawal, refund or replacement" form

 

Return the products by attaching the above form within 14 days (art.57 C.d.C).

9.3 Pursuant to Article 59, paragraph 1, of the Italian Civil Code, the Customer cannot exercise the right of withdrawal, among others, in the case of:

  1. a) of goods made to measure or personalized;
  2. b) of goods which by their nature cannot be returned or are liable to deteriorate or expire rapidly;
  3. c) of sealed goods which cannot be returned for hygienic reasons or related to health protection and have been opened after delivery.

9.4 Se il recesso è effettuato in ossequio alle condizioni sopra indicate, l’importo pagato per i Prodotti e per le spese di consegna è accreditato all’acquirente mediante bonifico bancario su conto a lui intestato.

9.4 If the withdrawal is made in compliance with the conditions indicated above, the amount paid for the Products and delivery costs is credited to the buyer by bank transfer to an account in his name. 9.5 Within 14 working days from exercising the right of withdrawal, the Customer is required to ship or deliver the returned Products to the following address Green Valley Azienda Agricola Srl., With registered office in C.da Grenne snc, Ficarra (ME), following the aforementioned indications.

9.6 The right of withdrawal is subject to the following conditions:

  • Returned Products must be returned intact, unused and in the packaging at the Customer's expense;
  • Returns will not be accepted and it will not be possible to refund items if the returned products are open, worn or if they are not contained in the original packaging;
  • The items to be returned must be sent in their original packaging using thick and resistant cardboard packaging.

9.7 Upon receipt of the return, the seller will check the returned items to ensure their integrity and may, at its discretion, only determine whether the products being returned are in original condition.

9.8 The seller cannot be held responsible in the event of loss, misdirection or late delivery of the items being returned.

9.9 The costs of returning the product will be borne by the consumer who may use the form of delivery that he deems most appropriate.

9.10 In any case, cash on delivery or carriage forward packages are not collected.

  1. Characteristics and availability of products

10.1 The products sold by Green Valley follow the seasonal nature expressly indicated on the Site and relating to each product.

10.2 The Products are not supplied on trial. The Customer is responsible for choosing the Products ordered and for their compliance with their needs.

10.3 In case of unavailability of one or more Products, the customer will be promptly notified.

  1. Force majeure

11.1 Green Valley Srl cannot be held responsible for the failure or delayed fulfillment of its obligations, for circumstances beyond its control due to events of force majeure or in any case, to sudden and unforeseen events and, in any case, independent of the will such as , by way of example but not limited to, breakdowns or interruptions to telephone or electricity lines, the internet and / or in any case to other transmission tools, unavailability of websites, strikes, natural events, viruses and IT attacks, interruptions in the provision of third party products, services or applications, outbreaks.

  1. Promotions and gifts

12.1 The Promotions proposed by Green Valley S.r.l. are valid while stocks of the Products are exhausted and within the purchase limits indicated on the Site.

12.2 The Promotions cannot be combined.

12.3 The Promotional Products may be delivered in promotional packages, other than those published on the Site.

12.4 The offer of any free products is valid while stocks last.

12.5 No replacement or return is possible in relation to any Products received as a gift from the Customer.

  1. Product Warranties

13.1 Green Valley Srl guarantees that Products equal to those indicated and described on the Site will be delivered.

13.2 If the breakage or lack of a product or the presence of an item that does not comply with the order is ascertained, the Customer has the right to request the delivery or reinstatement of the missing or non-compliant product or credit on the subsequent expense of the 'amount equal to the value of the product or products in dispute.

13.3 The communications of the aforementioned anomalies must be made, within 3 days from the delivery date, to the addresses indicated in these General Conditions.

13.4 Green Valley Srl guarantees compliance with all regulations regarding the conservation of products until the time of delivery in the place indicated in the order. Green Valley Srl is not responsible for the bad condition of the products due to inadequate storage after delivery.

  1. Applicable Law and Competent Court

15.1 These general conditions of sale are governed by Legislative Decree 206/2005 relating to the protection of consumers in respect of distance contracts and by Legislative Decree 9/4/2003, n. 70, in implementation of the European Directive on Electronic Commerce n. 2001/31 / EC, together with any other law and regulation.

15.2 The Parties agree that the application to this contract of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

15.3 Pursuant to art. 1341 and 1342 of the Italian Civil Code, the Customer declares to have carefully read and expressly accept the clauses of the General Conditions of Sale of Green Valley Srl.

15.4 For any dispute arising from this contract or relating to it, the following will be competent:

  1. a) the court of the place of residence or domicile of the consumer, if "consumer" pursuant to current legislation;
  2. b) exclusively the Court of Patti, Italy, in any other case.

15.5 For anything not expressly provided for here, the provisions of the law in force in the Italian system apply and in particular, for consumers, the provisions of Section II, Chapter I, Title III of the Italian Legislative Decree no. 206/2005 and subsequent amendments (Consumer Code).
